These Terms & Conditions ("Terms") govern your access to and use of the Heavohealth website, mobile application, digital platforms, programs, products, healthcare services and related services (collectively, the "Platform" or "Services") operated by Heavohealth [Arovex Healthcare Innovations Private Limited] ("Heavohealth", "we", "us", or "our").

By accessing, registering on, purchasing, subscribing to or using the Platform or any Services, you ("you", "your", or "User") acknowledge that you have read, understood and agreed to these Terms and our Privacy Policy.

If you do not agree with these Terms, you should not access or use the Platform or Services.

These Terms constitute an electronic record under the Information Technology Act, 2000 and applicable rules and regulations and do not require a physical or digital signature.

About the Platform

Heavohealth is a healthcare and health-management platform that may provide or facilitate access to healthcare professionals, health assessments, diagnostics, metabolic health programs, lifestyle interventions, health monitoring, digital tools, educational content and other healthcare-related services.

The specific Services available to you may vary depending on your location, eligibility, selected program, subscription, availability of healthcare professionals and third-party service providers.

Heavohealth may provide certain Services directly and may facilitate certain Services through independent healthcare professionals, diagnostic laboratories, pharmacies, technology providers, device manufacturers and other third-party partners.

Medical Information and Disclaimer

2.1

General Information

Information published on the Platform, including articles, educational materials, videos, recommendations, calculators, assessments and other content, is provided for general informational and educational purposes.

Such information is not a substitute for medical advice, diagnosis or treatment from a qualified healthcare professional.

You should not use information available on the Platform for self-diagnosis or self-treatment.

2.2

Healthcare Professionals

Where the Platform provides access to doctors, registered medical practitioners, dietitians, nutritionists, coaches or other healthcare professionals ("Healthcare Professionals"), they are responsible for the professional advice, assessment, diagnosis or treatment provided by them within the scope of their professional practice.

The availability of a Healthcare Professional on the Platform does not constitute an endorsement or guarantee of any particular outcome.

2.3

No Guarantee of Health Outcomes

Healthcare outcomes vary between individuals. Heavohealth does not guarantee that participation in any program will result in:

  • Weight loss;
  • Diabetes remission or reversal;
  • Reduction in medication;
  • Improved blood glucose;
  • Improved HbA1c;
  • Improved metabolic markers;
  • Prevention or treatment of any disease; or
  • Any particular health outcome.

Any health outcome discussed on the Platform represents an individual or program experience and should not be interpreted as a guarantee of the outcome you will achieve.

Doctor-Patient Relationship

The mere act of accessing the Platform, creating an account, purchasing a package or booking an appointment does not by itself create a doctor-patient relationship between you and Heavohealth.

Where a consultation is provided by an independent or Heavohealth-affiliated Healthcare Professional, a professional relationship may arise between you and that Healthcare Professional in accordance with applicable law and the circumstances of the consultation.

The Healthcare Professional remains responsible for their independent clinical judgment and professional decisions.

Healthcare and Other Services

Depending on the program you select, the Services may include:

  • Doctor consultations;
  • Teleconsultations;
  • Metabolic health assessments;
  • Diabetes and prediabetes management programs;
  • Nutrition consultations;
  • Lifestyle coaching;
  • Fitness or physical activity guidance;
  • Sleep and stress-management guidance;
  • Diagnostic testing;
  • Health assessments;
  • Continuous or periodic health monitoring;
  • Health reports and dashboards;
  • Wearable or connected-device integrations;
  • Continuous glucose monitoring ("CGM") or glucose monitoring;
  • Health-related educational content;
  • Personalised health recommendations;
  • Medication-related support where legally and clinically appropriate; and
  • Other services introduced by Heavohealth from time to time.

Not every Service will be available to every User.

Consultations and Telehealth Services

5.1

Appointments

You may book appointments with Healthcare Professionals through the Platform, subject to availability.

Heavohealth may reschedule or cancel an appointment where reasonably necessary, including due to Healthcare Professional availability, technical issues, operational requirements or circumstances beyond our reasonable control.

We will use reasonable efforts to notify you of material changes to an appointment.

5.2

Teleconsultations

Teleconsultations may be provided through audio, video, chat or other permitted communication methods. The quality and accuracy of a consultation may depend on:

  • The information provided by you;
  • The completeness of your medical history;
  • The quality of diagnostic reports;
  • Internet connectivity;
  • Device functionality;
  • Audio/video quality; and
  • Other technical or clinical limitations.

You are responsible for providing accurate and complete information to the Healthcare Professional.

5.3

Emergency Situations

The Platform and its Services are not intended to replace emergency medical services.

If you are experiencing a medical emergency or potentially life-threatening symptoms, you should immediately contact the appropriate emergency medical service or visit the nearest emergency medical facility.

Heavohealth does not guarantee immediate availability of Healthcare Professionals or emergency response through the Platform.

Diagnostics and Laboratory Services

Where diagnostic services are offered or facilitated through the Platform:

  • Such services may be provided by independent third-party laboratories or diagnostic providers.
  • Availability and turnaround times may vary.
  • Diagnostic reports are generated based on samples collected and tests performed by the relevant provider.
  • Heavohealth does not guarantee that a diagnostic result will always be error-free.
  • You should discuss clinically significant results with an appropriately qualified Healthcare Professional.
  • Where legally and operationally appropriate, Heavohealth may facilitate the sharing of relevant information with diagnostic providers to fulfil your request.

Devices and Health Data

Certain programs may include or integrate with devices such as:

  • Continuous glucose monitors;
  • Glucose meters;
  • Smart scales;
  • Wearables;
  • Fitness trackers; or
  • Other health-monitoring devices.

Devices may be supplied directly by Heavohealth or by third-party manufacturers, distributors or service providers.

Your use of a third-party device may also be governed by the manufacturer's terms and conditions and privacy policy.

Device readings are intended to support health monitoring and decision-making. They should not automatically be treated as a definitive medical diagnosis.

You should follow the instructions provided by the relevant Healthcare Professional and device manufacturer.

Health Programs and Lifestyle Interventions

Heavohealth may offer structured health programs designed to support areas such as metabolic health, diabetes management, nutrition, physical activity, sleep and lifestyle behaviour.

Participation in lifestyle interventions may require you to provide information, complete assessments, monitor health metrics and follow recommendations provided through the program.

Results vary between individuals and depend on multiple factors, including:

  • Existing health conditions;
  • Medication;
  • Genetics;
  • Lifestyle;
  • Diet;
  • Physical activity;
  • Sleep;
  • Adherence;
  • Age;
  • Environmental factors; and
  • Other individual circumstances.

Heavohealth does not guarantee any particular result.

Medication and Prescription Services

Where medication-related services are offered:

  • Medication decisions must be made by an appropriately qualified and authorised Healthcare Professional.
  • Heavohealth does not independently prescribe medication unless legally authorised to do so.
  • A Healthcare Professional may determine that medication is inappropriate, should be changed, or should be discontinued.
  • You must follow the prescribing Healthcare Professional's instructions.
  • You should read the patient information and prescribing information supplied with any medication.
  • You should not start, stop, change or alter medication dosage without appropriate medical advice.
  • Heavohealth is not responsible for the independent clinical judgment of a Healthcare Professional or for the acts or omissions of an independent third-party pharmacy, manufacturer or supplier, except to the extent liability cannot lawfully be excluded.

User-Provided Information

You agree that information you provide to Heavohealth will be accurate, complete and current. You are responsible for updating information where there has been a material change. This includes, where relevant:

  • Medical history;
  • Current medications;
  • Allergies;
  • Diagnostic results;
  • Symptoms;
  • Health measurements;
  • Contact information; and
  • Other information required for safe and effective delivery of the Services.

Providing inaccurate, incomplete or misleading health information may affect the safety and effectiveness of the Services.

Family Members and Secondary Users

Where the Platform permits you to manage accounts or Services for another person, including a family member:

  • You must have the appropriate authority to do so.
  • You must provide accurate information.
  • You must not provide another person's personal or health information without the necessary authority or consent.
  • Where the individual is a child or otherwise lacks legal capacity, you must act only in your capacity as an authorised parent, guardian or representative, as applicable under law.

You are responsible for ensuring that the information you provide regarding another individual is accurate and lawfully provided.

Consent and Medical Records

You authorise Heavohealth and relevant Healthcare Professionals to collect, process, store and use information reasonably necessary to provide the Services, subject to our Privacy Policy and applicable law.

Medical records, diagnostic reports, health measurements, consultation notes and other healthcare information may be maintained as required for:

  • Providing healthcare Services;
  • Continuity of care;
  • Safety monitoring;
  • Clinical governance;
  • Legal and regulatory compliance;
  • Record-keeping; and
  • Other lawful purposes.

Processing of personal data is governed by our Privacy Policy. You may exercise applicable privacy and data protection rights in accordance with our Privacy Policy and applicable law.

Fees, Payments and Taxes

Fees for Services will be displayed on the Platform or otherwise communicated to you before purchase, wherever applicable. You agree to:

  • Pay all applicable fees;
  • Provide accurate payment information;
  • Use a payment method that you are authorised to use; and
  • Pay applicable taxes and charges.

Payments may be processed through third-party payment gateways. Heavohealth does not ordinarily retain complete payment-card information where payment processing is handled by an authorised payment service provider.

Cancellation, Rescheduling and Refunds

Appointments may be cancelled or rescheduled subject to the applicable cancellation and rescheduling policy communicated at the time of booking.

Refund eligibility, where applicable, will be governed by the refund policy applicable to the relevant Service or package.

Certain Services may be non-refundable once delivered, initiated, consumed or fulfilled, subject to applicable law.

Where a refund is approved, the applicable amount will ordinarily be returned through the original payment method, subject to payment-provider and banking timelines.

Heavohealth's specific refund and cancellation policy should be incorporated here before publication.

User Account

Certain Services may require you to create an account. You are responsible for:

  • Maintaining the confidentiality of your login credentials;
  • Providing accurate information;
  • Protecting access to your account;
  • Not sharing your credentials with unauthorised persons; and
  • Informing Heavohealth promptly if you suspect unauthorised access.

You are responsible for activity conducted through your account unless such activity resulted from circumstances for which you are not legally responsible.

Acceptable Use of the Platform

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Platform for unlawful purposes.
  • Misrepresent your identity or provide false information.
  • Impersonate another person.
  • Attempt to obtain unauthorized access to another User's account.
  • Interfere with the operation or security of the Platform.
  • Introduce malware, viruses or other harmful code.
  • Reverse engineer or attempt to extract source code from the Platform, except where expressly permitted by law.
  • Scrape, copy or systematically extract Platform data without our written permission.
  • Reproduce or commercially exploit Platform content without authorisation.
  • Upload content that is unlawful, defamatory, abusive, obscene, infringing or otherwise prohibited by law.
  • Violate another person's privacy or intellectual property rights.
  • Attempt to circumvent security or authentication mechanisms.
  • Use automated systems to access the Platform in a manner that places unreasonable load on our infrastructure.
  • Use the Platform to provide medical advice to others without appropriate authority or qualifications.
  • Interfere with another User's access to the Platform.

We may suspend or terminate access where we reasonably believe these Terms have been violated.

User Content

If the Platform allows you to submit information, feedback, reviews, photographs, messages or other content ("User Content"), you remain responsible for that content.

You represent that you have the necessary rights and permissions to submit such content.

You grant Heavohealth a limited right to use User Content where necessary to operate, provide, improve and secure the Services, subject to our Privacy Policy and applicable law.

We may remove User Content that violates these Terms or applicable law.

Intellectual Property

The Platform and its contents, including software, source code, website design, user interfaces, text, graphics, logos, brand elements, videos, images, educational materials, reports, algorithms, databases, product features and other proprietary materials are owned by or licensed to Heavohealth and are protected by applicable intellectual property laws.

Except as expressly permitted by these Terms or applicable law, you may not copy, modify, reproduce, distribute, publish, sell, license, reverse engineer, create derivative works from, or commercially exploit any part of the Platform or its proprietary content without our prior written permission.

Third-Party Services

The Platform may integrate with or facilitate services provided by third parties, including:

  • Doctors and healthcare professionals;
  • Laboratories;
  • Pharmacies;
  • Device manufacturers;
  • Payment providers;
  • Cloud-service providers;
  • Wearable platforms;
  • Health-data platforms; and
  • Other healthcare or technology providers.

Third-party services may be subject to separate terms and privacy policies. Heavohealth is not responsible for matters outside its reasonable control relating to independent third-party services, except where liability cannot lawfully be excluded.

Platform Availability

We aim to maintain reliable access to the Platform but do not guarantee that it will always be:

  • Available;
  • Uninterrupted;
  • Error-free;
  • Secure;
  • Free from viruses; or
  • Compatible with every device or operating system.

Access may occasionally be suspended or restricted due to:

  • Maintenance;
  • Security incidents;
  • Software updates;
  • Technical failures;
  • Network failures;
  • Third-party service interruptions; or
  • Circumstances beyond our reasonable control.

Disclaimer of Warranties

To the maximum extent permitted by applicable law, the Platform and non-clinical content are provided on an "as is" and "as available" basis. Heavohealth does not warrant that:

  • The Platform will always meet your requirements;
  • The Platform will operate without interruption;
  • Information will always be complete or error-free;
  • Health recommendations will produce a specific outcome;
  • Diagnostic results will always be error-free;
  • Third-party services will always be available; or
  • Any particular health outcome will be achieved.

Nothing in these Terms excludes any warranty, right or protection that cannot legally be excluded under applicable law.

Limitation of Liability

To the maximum extent permitted by applicable law, Heavohealth shall not be liable for indirect, incidental, special, consequential or punitive losses arising from your use of the Platform or Services. This may include, where legally permitted:

  • Loss of profits;
  • Loss of data;
  • Loss of business opportunity;
  • Loss arising from service interruption; or
  • Other consequential losses.

Nothing in these Terms is intended to exclude or limit liability that cannot legally be excluded or limited under applicable law, including liability arising from fraud, wilful misconduct or other matters for which limitation is prohibited by law.

Where a Service is provided by an independent Healthcare Professional or third-party provider, the professional or provider remains responsible for their own professional acts and omissions to the extent provided by applicable law.

Indemnification

To the extent permitted by applicable law, you agree to indemnify and hold harmless Heavohealth, its affiliates, directors, officers, employees and authorised representatives from claims, losses, liabilities, costs and expenses arising from:

  • Your breach of these Terms;
  • Your unlawful use of the Platform;
  • Your violation of another person's rights;
  • Your misuse of the Services; or
  • Information or User Content submitted by you that violates applicable law or third-party rights.

This provision does not apply to the extent that the relevant claim results from Heavohealth's own unlawful conduct or liability that cannot legally be excluded.

Suspension and Termination

You may stop using the Platform at any time. Heavohealth may suspend or terminate your access if:

  • You materially breach these Terms;
  • You engage in fraudulent or unlawful activity;
  • You compromise the security of the Platform;
  • Your use creates a risk to other Users or Heavohealth;
  • Required by law or regulatory authority; or
  • We discontinue the relevant Service.

Termination does not affect rights or obligations that accrued before termination. Certain provisions, including intellectual property, payment obligations, disclaimers, limitation of liability and dispute-related provisions, may survive termination.

Communications

By registering for or using the Services, you agree that Heavohealth may communicate with you through:

  • Email;
  • SMS;
  • Telephone;
  • WhatsApp or other messaging services;
  • In-app notifications; or
  • Other communication channels associated with your account.

Service-related communications may continue even if you opt out of promotional communications. You may opt out of promotional communications through the mechanism provided in the relevant communication or by contacting us.

Privacy and Data Protection

Your use of the Platform is also governed by the Heavohealth Privacy Policy.

The Privacy Policy explains how we collect, use, disclose, retain and protect personal data and how you may exercise applicable rights under Indian data protection laws, including the Digital Personal Data Protection Act, 2023, as and when applicable to the relevant processing.

In the event of a conflict between these Terms and the Privacy Policy concerning the processing of personal data, the Privacy Policy will govern that specific matter.

Force Majeure

Heavohealth shall not be responsible for delay or failure in performing its obligations where such delay or failure results from circumstances beyond its reasonable control. Such circumstances may include:

  • Natural disasters;
  • Epidemics or pandemics;
  • Government actions;
  • War;
  • Civil unrest;
  • Internet or telecommunications failures;
  • Power failures;
  • Cybersecurity incidents;
  • Third-party infrastructure failures;
  • Strikes; or
  • Other events beyond reasonable control.

Changes to These Terms

We may modify these Terms from time to time.

Where material changes are made, we may notify you through the Platform, email or other appropriate communication methods where required.

Your continued use of the Platform after the updated Terms become effective constitutes acceptance of the revised Terms, subject to applicable law.

  • Other legally permissible methods.

Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent.

Heavohealth may assign or transfer its rights and obligations under these Terms in connection with a merger, acquisition, restructuring, financing, sale of assets or other corporate transaction, subject to applicable law.

Severability

If any provision of these Terms is determined by a competent authority to be invalid, unlawful or unenforceable, that provision shall be modified or interpreted to the minimum extent necessary to make it enforceable, where legally possible.

The remaining provisions shall continue in full force and effect.

Waiver

Failure by Heavohealth to enforce any provision of these Terms does not constitute a waiver of its right to enforce that provision in the future.

Governing Law and Jurisdiction

These Terms shall be governed by and interpreted in accordance with the laws of India.

Subject to applicable law and any mandatory dispute-resolution mechanism, courts having jurisdiction at New Delhi, India shall have jurisdiction over disputes arising from or relating to these Terms.

Entire Agreement

These Terms, together with the Heavohealth Privacy Policy and any additional terms expressly applicable to a particular Service, constitute the agreement between you and Heavohealth concerning your use of the Platform and Services.

If there is a conflict between these Terms and specific terms applicable to a particular Service, the specific Service terms will prevail to the extent of that conflict.
